MEMORANDUM OF UNDERSTANDING
This Memorandum of Understanding (MoU) is made and entered into this ___ day of ______, 20__, by and between:

AND

[Company Name/Government Entity], a company/entity duly registered under the laws of [Country], with its principal office located at [Address] (hereinafter referred to as “Party B”).

WHEREAS, Party A is engaged in the exploration, development, and extraction of mineral resources and possesses the technical expertise, financial capacity, and equipment necessary for mining operations;

WHEREAS, Party B owns/holds the rights to certain mineral concessions/lands in [Location] and seeks to collaborate with a qualified partner to exploit these resources in a sustainable and mutually beneficial manner;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties hereby agree as follows:

1. PURPOSE
The purpose of this MoU is to establish a framework for cooperation between Party A and Party B to conduct joint exploration, feasibility studies, and potential mining operations within the designated area(s). This MoU outlines the preliminary terms and conditions under which the Parties intend to collaborate.

2. SCOPE OF COOPERATION
a) Exploration Activities: Party A shall conduct geological surveys, sampling, and other exploratory work to assess the mineral potential of the concession area.
b) Feasibility Study: Upon positive findings, Party A shall prepare a detailed feasibility study, including environmental impact assessments and financial projections.
c) Mining Development: If the feasibility study yields commercially viable results, the Parties shall negotiate a definitive agreement for full-scale mining operations.

3. RESPONSIBILITIES
Party A shall:
– Provide technical expertise, financing, and equipment for exploration and feasibility studies.
– Ensure compliance with applicable environmental and mining regulations.
– Submit regular progress reports to Party B.

Party B shall:
– Grant Party A access to the concession area for exploration and related activities.
– Assist in securing necessary permits and approvals from relevant authorities.
– Facilitate community engagement and stakeholder consultations as required.

4. CONFIDENTIALITY
All information exchanged under this MoU shall be treated as confidential and shall not be disclosed to
